Biography

Michael J. Macaluso is the Managing Partner of the firm. He has a long track record for successfully managing large, innovative, and complex transactions, investments, and projects for some of the world's leading institutions and middle-market companies, including GMAC, Cargill, Wells Fargo, and HSBC. Alternating as a partner with large law firms and as a member of law departments of large corporates, funds, and growth companies, he developed significant experience bridging the management of complex legal engagements as outside counsel and the complexities and needs of the internal legal function consistently delivering legal and strategic solutions to his clients in even the most challenging situations.

As a practice leader and partner with global law firms such as DLA Piper, Morgan Lewis, and Faegre Drinker, where he either chaired or co-chaired these firms' structured finance groups, Mr. Macaluso pioneered the business model at the heart of the firm morphing his practice into an increasingly business advisory platform that served the growing and ever more sophisticated demands of global business. He has successfully completed many billions of dollars in cross-border, in country, transactions, investments, and ventures in many parts of the world, including in the U.S., Greater China, Asia-Pacific generally, parts of the Middle East, and Europe.

For over a decade, Mr. Macaluso was the senior member responsible for legal of the global treasury team of a $120 billion company with activities across three continents. During the financial crisis, he led teams restructuring or working out over $150 billion of liquidity for some of the world's leading institutions.

He also taught capital markets as an adjunct professor at the University of Minnesota Law School for over a decade. Mr. Macaluso received his JD and MBA from the University of Chicago and his BA from Lehigh University.
